General Note on the Blocking of "Contracts" and the Notion of a Person Having an "Interest" in a "Contract"

1) BACKGROUND

The Pre-transactional Activities Note (System Note) discusses the various ways in which the acts of executing legal documents and entering into agreements can constitute violations of sanctions prohibitions in and of themselves. In other words, how the mere acts of entering into or executing agreements may or may not constitute a sanctions violation
independent of the question of whether the agreement itself constitutes “blocked property,” such that no obligations may be performed pursuant to the agreement, and no benefits may be received from any counterparty, without an OFAC authorization or applicable exemption.
